Terms of Service

Welcome to GradeAid. GradeAid is a service provided by GradeAid ApS, CVR 45882411 (“we,” “us,” or “our”). We help teachers plan lessons and produce classroom material in minutes rather than weekends, and we help children learn for real — no shortcuts, no cheating.

By creating an account or using the service, you agree to be bound by these Terms of Service (“Terms”). These Terms are a legally binding agreement between you (the “User”) and GradeAid.

Protecting children’s safety is paramount to us. We follow the GDPR and the Danish Data Protection Act (Databeskyttelsesloven) on the digital age of consent.

Teacher accounts

A teacher may create an account in their own name and use it to plan lessons and produce material. If you create classes and add pupils, you are responsible for having the authority to do so under your school’s rules, and for the accuracy of what you enter about them.

School and municipality deployments

Where a school or municipality deploys GradeAid, that institution is the data controller for its teachers’ and pupils’ data and we act as its data processor under a separate data processing agreement. The institution is responsible for its own legal basis for adding pupils, and these Terms apply alongside that agreement.

Family accounts

A parent or legal guardian (forældremyndighedsindehaver) may create an account and add a child profile. The service is for you and your household, which includes your spouse or partner and any children for whom you hold parental responsibility.

Users under 15

You may not create an account if you are under 15 years of age. A parent or legal guardian must create it and add a child profile on your behalf, or your teacher adds you under your school’s own legal basis.

Users aged 15 or older

Users aged 15 or older may create an account and consent to data processing independently, in accordance with Databeskyttelsesloven § 6, stk. 3.

Inviting pupils

If you invite pupils to GradeAid, you confirm that you have obtained parental consent, or that your school holds it, for every pupil under 15. GradeAid relies on that confirmation and is entitled to do so. Pupil profiles contain only a first name, a username and a password, which you can reset but not view.

Parental responsibility

If you are a parent or legal guardian, you are responsible for:

• Giving explicit consent for your child to use the service.
• Supervising your child's use of GradeAid.
• Making sure your child does not enter sensitive personal information, such as a home address, into any free-text field.

3.1 What the service does

GradeAid generates teaching material — lesson plans, presentations, worksheets, quizzes and project tasks — from the curriculum standards of the teacher’s country, at the teacher’s request, in the teacher application. The teacher reviews and edits what is produced, then assigns it. Pupils open, complete and submit the work they were assigned.

3.2 Use of Google Gemini

To produce this material we use Google’s Gemini model as a sub-processor. Before a request is sent, personal identifiers are removed: Google receives the educational content of the request, not the identity of the teacher or of any pupil. Google is contractually prohibited from using anything we send to train its general AI models. We do not use uploaded materials or pupil work to train our own or any third party’s models.

3.3 Accuracy

Generative AI can produce confident but factually incorrect output. Material drafted by GradeAid is a starting point for a qualified teacher to review and correct, and is not a substitute for one. You remain responsible for what you assign to your pupils.

Output may also reproduce parts of material you uploaded, or resemble existing works. Before you distribute, publish, sell or share output beyond your own teaching, you are responsible for checking that doing so infringes nobody’s rights. We do not warrant that output is accurate, original or free of third-party rights.

3.4 EU AI Act

We acknowledge that AI systems used in education may be classified as high-risk under European AI regulation. GradeAid is committed to operating under the corresponding safety and quality standards, including keeping a qualified human in the loop for anything a pupil receives.

3.5 Availability

We may change, suspend or withdraw features. Where a change materially reduces a paid plan you hold, section 8 applies.

What we collect, why, on what legal basis, who receives it, where it goes and how long we keep it are all set out in our Privacy Policy, which forms part of these Terms. It is the authoritative description; the summary below does not replace it.

• Teachers — name, email, a hashed password or a Google account identifier, your classes and teaching setup, and billing status if you hold a paid plan.
• Parents — email address, for verification, consent records and safety alerts.
• Pupils — username and first name, optionally date of birth, class level, subjects and interests, plus the answers and any photo they submit for assigned work. Pupils added by a class join code have no email address collected.
• Uploaded materials — the file, an image of each page, the text transcribed from it, and its file name, page count and upload date.

Special category data. You agree not to enter special category data (GDPR Art. 9), such as medical or health information, into any field of the service.

Your rights. Access, rectification, erasure, restriction, portability, objection, withdrawal of consent, rights regarding automated decisions, and the right to complain to Datatilsynet — all exercisable by writing to privacy@gradeaid.ai. Section 13 of the Privacy Policy sets out each one.

We do not display advertising or sponsored content to children, we do not use data about children for profiling or targeted marketing, we set no tracking or marketing cookies in the teacher or pupil applications, and the service contains no direct purchase calls to children.

Two things are worth stating plainly rather than leaving to inference.

• We advertise our own product to adults. Our public website carries a Meta advertising pixel and analytics services, which load only for visitors who accept cookies and are never present anywhere a pupil goes. Section 12 of the Privacy Policy describes exactly what they receive and how to refuse them.
• A teacher can embed a YouTube videoin a presentation, and pupils view the presentations their teacher assigns. When such a slide is shown the player loads from YouTube, which may set its own cookies in the viewer’s browser. This is the only third-party embed in the product and it is not advertising.

You agree not to:

• Bully or harass. Use the service for mean, threatening or abusive behaviour.
• Pass off work that is not yours.Submit someone else’s answers, or material you did not produce, as your own.
• Misuse the generation tools. Attempt to make the service produce illegal, sexual, violent or otherwise harmful content, or to bypass its safety limits.
• Upload what you have no right to upload. See section 7.
• Share credentials. Give your login to anyone outside your household, or outside the school licence under which it was issued.
• Interfere with the service. Probe, scrape, overload or attempt to circumvent rate limits and access controls.

We may suspend or terminate any account that breaches these rules. Where we do, we will tell you why unless we are legally prevented from doing so.

Our rights

GradeAid, the logo, the software, and our prompts and templates are our intellectual property. These Terms grant you no rights in them beyond using the service.

Material generated for you

Lesson plans, presentations, worksheets, quizzes and project tasks generated at your request are yours to use, adapt, print, export and share with your pupils and colleagues, including after you stop paying for a plan. We claim no ownership of them.

Your inputs

You retain all rights in what you enter. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process and display it, solely to operate the service for you. That licence ends when you delete the content or your account, except where we must keep a copy to comply with the law or to deal with a legal claim.

Uploaded materials

If you upload books, excerpts, worksheets, images or other teaching material (“Uploaded Materials”) so that GradeAid can build lessons from them, the following applies.

• You confirm you are entitled to upload it.You warrant that you own the material, or hold a licence or a statutory exception that permits you to upload it to a third-party service and have it processed this way, and that doing so breaches nobody else’s rights.
• The licence you grant us is narrow. You grant us a non-exclusive, royalty-free licence to store the file, render each page to an image, transcribe the text, and use it to generate material at your request. Nothing more. We do not publish it, show it to other users, or use it to train models.
• No personal data. Do not upload pupil assignments, grades, names, photographs or other personal data about pupils, parents or colleagues. We may delete uploaded materials containing personal data we are not authorised to process.
• You are responsible for it.If a third party brings a claim against GradeAid ApS because material you uploaded infringes copyright or other rights, or breaches these Terms, you agree to compensate us for the resulting loss, including reasonable legal costs — to the extent applicable law permits, including mandatory consumer protection rules and section 36 of the Danish Contracts Act (aftaleloven). Where you use GradeAid on behalf of a school or organisation, that organisation is responsible for its users’ uploads.

Notice and takedown

Uploaded materials are private to the account that uploaded them and are not made available to the public or to other users. GradeAid acts as a hosting provider under Article 6 of Regulation (EU) 2022/2065 (the Digital Services Act) and section 16 of the Danish E-Commerce Act (e-handelsloven): we do not review, select, organise or promote what is uploaded. We are not an online content-sharing service provider under section 52 c of the Danish Copyright Act. If we ever introduce sharing of uploaded materials between users, we will update these Terms first.

If you believe material stored on GradeAid infringes your rights or is otherwise illegal, send a notice to privacy@gradeaid.ai containing:

• An explanation of why the material is illegal.
• Its exact location — the URL, or the account and file name.
• Your name and email address.
• A statement that you believe in good faith that the information is accurate and complete.

We will confirm receipt, act expeditiously to remove or disable access to the material, tell you what we decided, and give the uploader a statement of reasons and an opportunity to object — in line with Articles 16 and 17 of the Digital Services Act. That address is also our single point of contact for users and authorities under Articles 11 and 12. The Danish Digital Services Coordinator is the Danish Competition and Consumer Authority (Konkurrence- og Forbrugerstyrelsen).

Removal and repeat infringers

We may remove or disable access to uploaded materials that we reasonably believe infringe third-party rights, contain personal data we are not authorised to process, or breach these Terms. We may suspend the upload feature, or suspend or terminate accounts that repeatedly upload infringing material.

No pre-screening

We do not review uploaded materials or generated output before they are stored or delivered. We may — but are not obliged to — use automated or manual checks to detect material that appears to infringe rights or breach these Terms, and we may refuse or remove such material. Running those checks does not make us responsible for what we do not catch.

Free and paid plans

Individual teachers can use GradeAid free of charge, within the usage limits shown on our pricing page. Paid plans (Pro and Max) raise those limits and unlock further features. Schools and municipalities are priced separately by agreement.

Billing

Payments are taken by Stripe. We never see or store your full card details. Prices are shown on the pricing page and are exclusive of any VAT that applies to you; Stripe calculates and adds it at checkout where required.

• Term and renewal. A subscription runs for the period you chose, monthly or annually, and renews automatically for the same period until you cancel.
• When you are charged. On the day you subscribe, and on the same day of each following period.
• Price changes. We may change prices, and will tell you by email at least 30 days before a change affects a renewal. If you do not accept it, cancel before that renewal.
• Failed payments. If a payment fails, we may retry it and may suspend paid features until it succeeds. Your account and your material are not deleted for non-payment; you drop to the free plan.

Cancelling

You can cancel at any time from your account settings. Cancellation stops the next renewal and your plan continues until the end of the period you have already paid for. We do not pro-rate part-used periods, except where the law requires it. Material you already generated stays yours.

Right of withdrawal for consumers

If you are a consumer in the EU — buying as a private individual rather than for a school or business — you have 14 days from subscribing to withdraw and receive a refund, under the Danish Consumer Contracts Act (forbrugeraftaleloven). Tell us at privacy@gradeaid.ai or cancel in your account settings within that period. Because the service is available to you immediately, you agree that we begin performance at once, and you accept that if you withdraw after using it we may deduct a proportionate amount for what you used. This right does not apply to schools, municipalities or other business purchasers.

Refunds otherwise

Outside the withdrawal period we do not generally give refunds for unused time. If the service was substantially unavailable or did not work as described, write to privacy@gradeaid.ai and we will put it right — this does not limit your statutory rights under Danish or EU law.

Schools and organisations

Schools, municipalities and other organisations may subscribe under a separate order form that specifies the plan, the number of users, the price and the period. These Terms apply to such subscriptions except where that order form says otherwise.

The service is provided “as is” and “as available.” We are not liable for indirect, incidental, special, consequential or punitive damages arising out of or related to your use of it — including loss of profit, loss of data, and loss arising from the accuracy or fitness of AI-generated output, which is why a qualified teacher reviews everything before it reaches a pupil. We are not liable for uploaded materials, or for output generated from them, including any claim that they infringe third-party rights.

These limits do not apply to liability caused by our gross negligence or wilful misconduct, or to liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rules. Nothing in this section affects your statutory rights under Danish or EU law, including a consumer’s rights in respect of digital services.

Our application, database and file storage run in the EU. Some of the companies listed in section 5 of the Privacy Policy are established in the United States. We transfer personal data there on the basis of the EU–U.S. Data Privacy Framework where the recipient is certified under it, and use the EU Standard Contractual Clauses as a supplementary safeguard where applicable. Section 6 of the Privacy Policy sets this out in full, including how to ask for a copy of the transfer documentation.

We may update these Terms. The version number and date are shown at the top of this document.

• Minor changes — clarifications, and updates that do not reduce your rights — take effect when they are published on our website.
• Significant changes are notified by email at least 30 days before they take effect, and you will be asked to accept them at your next login. If you do not agree, you may cancel any paid plan and delete your account.

Where consent is the legal basis for processing, material changes to the scope of data processing will require renewed consent.

• Governing law. The laws of Denmark. If you are a consumer, this does not deprive you of the protection of the mandatory law of your own country of residence.
• Venue. The courts of Denmark. If you are a consumer, you may also bring proceedings in the courts of your own country of residence, and you may use the Danish Consumer Complaints Board (Nævnenes Hus).
• Data protection complaints. The Danish Data Protection Agency (Datatilsynet), at datatilsynet.dk.
• Consumer disputes. The EU Online Dispute Resolution platform is available to consumers.
